About The Job
The Operations Lead is the steward of Gitcoin Foundation’s off‑chain infrastructure, translating DAO‑driven decisions into reliable, compliant, and transparent execution. You ensure our legal entities remain in good standing, our treasury and banking pathways are robust, and our vendors and partners deliver on multi‑year commitments—so the DAO can focus on innovating public‑goods funding.
- Accountabilities
- Entity Compliance & Governance
- Maintain corporate filings, AML/KYC processes, and nonprofit compliance in Cayman Islands, BVI, and any other jurisdictions.
- Serve as the final signatory on all Foundation contracts, MOUs, and legal agreements.
- Financial Continuity & Reporting
- Own banking infrastructure: set up and monitor fiat on‑ramps/off‑ramps, hot wallet transactions, and multi‑sig treasury flows as needed.
- Lead budgeting, runway planning, and monthly financial reporting to the board and community
- Publish quarterly P&L statements and cash‑flow forecasts to stewards and token holders.
- DAO‑Foundation Liaison
- Translate DAO Resolutions into actionable project plans with clear timelines, budgets, and owners.
- Coordinate with Core Stewards and workstream leads on operational blockers and status updates.
- Report to Board w/ any DAO and org related governance updates.
- Vendor & Partnership Management
- Evaluate proposals, onboard service providers, and manage ongoing vendor relationships for any agreements at the Foundation level.
- Provide legal and governance support for DAO related initiatives when necessary.
- Cultivate strategic, multi‑year partnerships that advance Gitcoin’s mission and ecosystem.
- Domain(s)
- Legal & Compliance: Authority on entity-level filings, contract execution, and regulatory processes.
- Financial Operations: End‑to‑end ownership of banking, treasury management, budgeting, and financial reporting.
- DAO Resolution Execution: Support definition on how on‑chain governance translates into off‑chain deliverables.
Goals
30 days
• Complete full audit of banking, hot‑wallet, and legal processes
• Finalize handover of Interim ED duties (SOPs, knowledge transfer)
• Deliver inaugural quarterly financial report to the DAO
60 days
• Establish redundant banking/treasury pathways to mitigate market volatility
• Launch an operations dashboard for budgets, KPIs, and DAO‑led initiatives
90 days
• Publish comprehensive risk assessment covering regulatory, financial, and operational hazards
• Ensure operational readiness for Gitcoin Grants Round 24
Responsibilities
- Draft, negotiate, and execute all Foundation‑level legal agreements.
- Manage relationships with banks, payment processors, and custodial providers.
- Oversee accounting tools (QuickBooks, Propellor, Rain, Integral) and reconcile transactions weekly.
- Develop and iterate SOPs for financial controls, vendor onboarding, and compliance checks.
- Facilitate monthly runway‑planning sessions and annual budget cycles.
- Coordinate with Grants Program Director (Mathilda) and Lead Steward (Kevin Owocki) to operationalize grants and governance experiments.
Capabilities / Skill Requirements
- Crypto & DAO Expertise: 3+ years at a DAO or crypto foundation; deep familiarity with Cayman/BVI legal, operational and financial systems.
- Regulatory Acumen: Hands‑on experience with Cayman/BVI corporate law, AML/KYC, and nonprofit compliance.
- Financial Mastery: Proven track record in treasury management, budgeting, and financial reporting tools.
- Operational Excellence: Expert in process design, vendor management, and cross‑functional project delivery.
- Communication & Leadership: Strong collaborator, capable of simplifying complexity for on‑chain and off‑chain audiences.

- Market Volatility: Crypto price swings impacting treasury value and operational runway.
- Regulatory Flux: Rapid changes in DAO and digital‑asset regulations across jurisdictions.
- Alignment Drift: Risk of misalignment between Foundation obligations and DAO priorities.
- Single Points of Failure: System or personnel dependencies without adequate redundancy.
Key Relationships
- Board of Directors: Regular reporting, governance alignment, and strategic risk discussions.
- Grants Program Director: Support for grants cycle operations and pilot experiments.
- Lead Steward: Coordination on DAO governance frameworks and resolution roll‑outs.
- External Vendors & Partners: Banks, legal advisors, accounting firms, service providers, and funding partners.
