Part Time VP Corporate Development / Fractional Capital Lead
Remote • Part-Time W-2 • Path to Full-Time CCO
Silver Mirror is a 10-year-old, profitable operating skincare company with 20%+ margins across 10 locations. We are seeking a Part Time VP of Corporate Development / Fractional Capital Lead to structure and execute a growth capital raise from Family Office or Lower-Middle-Market Private Equity partners.
Our cap table is clean — founder-controlled, no outside investors, no preference stack. The financial fundamentals support a credible thesis for both an initial capital facility and a follow-on growth round in 12–24 months.
What You'll Own
This role is fully focused on capital strategy and fundraising. Our VP of Finance owns accounting and financial operations — this seat is exclusively about raising capital and structuring the deal.
- Capital Strategy and Investor Outreach (Primary Focus). Lead outreach, positioning, and negotiation with Family Offices and Lower-Middle-Market Private Equity. We are not targeting early-stage venture capital. Your existing, active relationships in this segment are the single most important qualification for this role.
- Financial Engineering. Build the investor model and narrative demonstrating how capital deployment converts stable margins into accelerated free cash flow and revenue growth.
- Deal Execution. Manage the data room, oversee diligence, and structure terms aligned with the company's long-term objectives.
Who You Are
- 10+ years in Corporate Development, Investment Banking, or Private Equity.
- Direct, active relationships with Family Office principals and Lower-Middle-Market PE partners who invest in stable, margin-positive operating businesses.
- Track record working with mature, profitable companies — not pre-revenue or early-stage.
Structure & Compensation
This role is structured as part-time W-2 employment rather than a 1099 contractor relationship. Under SEC Rule 3a4-1, bona fide employees of an issuer may participate in capital-raising activity without triggering broker-dealer registration requirements; a 1099 structure does not qualify for that exemption. The W-2 structure keeps the milestone bonus compliant.
- Base Retainer: $5,000/month during outreach and preparation; $10,000/month once a term sheet is signed and diligence is active.
- Equity: Meaningful advisory/co-founder level equity, vested, on a clean founder-controlled cap table.
- Strategic Milestone Bonus: $100,000, payable on completion of the Capital Restructuring Roadmap. Tied to strategic company goals rather than a percentage of capital raised, consistent with the W-2 compliance structure above.
- Reports directly to the CEO.
- Clear path to full-time CCO for the right partner.
