About The Role
We are seeking a Fractional General Counsel for a newly created position in our Waltham, MA office to lead legal strategies that support and protect the interests of a privately held company and its fast-growing portfolio of boutique culinary and hospitality companies. This is a hands-on role requiring exceptional critical thinking about legal and operational challenges, coupled with the ability to exercise sound judgment in complex situations. The ideal candidate thrives in high-growth environments and brings process minded thinking to all things legal, with a proven track record across multiple areas of law, including corporate governance, investments, distribution agreements, labor and employment law, while providing legal guidance and risk mitigation strategies to support the holding company’s operations and growth. This position needs to ensure each portfolio company adheres to legal requirements and operate smoothly within their respective industries.
Key Responsibilities
· Serve as a strategic legal advisor to senior management, providing guidance on legal matters impacting the holding company and its diverse portfolio of culinary and hospitality businesses.
· Develop, implement, and maintain legal policies, procedures, and systems to mitigate regulatory and operational risks.
· Ensure compliance with applicable financial regulations, securities laws, and tax requirements related to investment structures and corporate operations.
· Oversee corporate governance across all entities, ensuring adherence to best practices and legal standards.
· Draft, review, and negotiate a wide range of contracts and agreements, including vendor, supplier, service, partnership and equity agreements.
· Prepare, review, and manage corporate documentation, ensuring legal accuracy and consistency across the portfolio.
· Coordinate with and manage outside counsel as needed and represent the company in legal matters and proceedings when appropriate.
· Identify, assess, and mitigate legal risks, including those related to commercial disputes, regulatory compliance, investments, and contractual obligations.
· Provide legal counsel on employment law matters, including employee relations, compliance with labor regulations, and drafting of employment contracts, NDAs, non-compete agreements and equity agreements.
· Conduct regular risk assessments and develop proactive legal strategies to protect the company’s operations and long-term interests.

Requirements
· Juris Doctor (JD) from an accredited U.S. law school.
· 5-10 years of legal experience in law firm settings, with knowledge of the hospitality and service industries.
· Proven success as a General Counsel or senior in-house legal leader - ideally within a private holding company or similarly complex, multi-entity environment.
· Broad expertise across corporate, commercial, and regulatory law.
· Strong negotiation skills and the ability to communicate complex issues clearly to senior leadership.
· Demonstrated ability to manage multiple priorities in a fast-paced, growth-oriented setting.
· High ethical standards, discretion, and professional integrity.
