As we grow, the complexity of our legal and compliance landscape is growing too.

We’re looking for a Fractional General Counsel (part-time, remote) who can be our trusted legal advisor across IP, corporate, commercial, and compliance matters. This is a unique opportunity to shape the legal foundation of a fast-scaling AI startup, balancing proactive risk management with the urgency of a high-growth business.

The Role

You’ll be the primary legal partner to the founders and leadership team, providing strategic counsel while helping us stay nimble, compliant, and protected. From structuring equity and fundraising docs to advising on cutting-edge AI/ML IP and compliance issues, you’ll own the legal backbone that supports our growth.

What You’ll Do & Own

• Intellectual Property & Ownership
  • Draft and enforce NDAs, invention assignments, and work-for-hire agreements
  • Oversee patent, trademark, and open-source license compliance
  • Advise on AI/ML-specific IP issues (datasets, trained weights, model outputs)
• Hiring & Labor Compliance
  • Draft and review employment and contractor agreements (U.S. & India)
  • Ensure compliance with labor laws, confidentiality, and IP protections during onboarding/offboarding
  • Support intern and fellowship agreements
• Corporate & Equity Matters
  • Guide entity formation, bylaws, and cap table management
  • Support founder/advisor equity, vesting, and stock option pool creation
  • Draft and review fundraising docs (SAFEs, convertible notes, VC diligence) and board governance
• Commercial & Partnership Agreements
  • Draft SaaS/MSA agreements, SLAs, and professional services terms
  • Structure reseller, referral, and revenue-sharing agreements
  • Develop Terms of Service, Privacy Policy, and AI-specific licensing clauses
• Data Privacy, Security & AI Compliance
  • Draft Privacy Policies and Data Processing Agreements (GDPR, CCPA, India DPDP)
  • Ensure compliance with cross-border data transfers and AI regulations (EU AI Act, NIST AI RMF)
  • Provide legal input on Responsible AI practices and documentation
• Risk & Regulatory Support
  • Review insurance, export control, and cloud provider agreements
  • Advise on AI liability, product risks, and potential disputes

You Might Be a Fit If You

• Hold a J.D. with active bar membership in good standing (U.S. preferred; international experience a plus)
• Bring 5+ years of experience advising startups, ideally with AI/ML or high-growth tech companies
• Have strong expertise in IP, corporate law, commercial contracts, and data privacy
• Are familiar with cross-border labor/employment compliance (U.S./India)
• Thrive working independently in a fractional / part-time capacity and can provide pragmatic, business-aligned advice

• Prior experience as first or early counsel at a scaling startup
• Exposure to AI/ML-specific legal challenges (model governance, liability, dataset/IP risks)
• Experience supporting venture fundraising and board governance in fast-paced environments
