About The Role
We are seeking a strategic and hands-on Fractional General Counsel to serve as the primary legal advisor across a range of business functions. Reporting to the CEO, this role is ideal for an attorney with three+ years of experience who thrives in dynamic environments and is eager to build scalable legal infrastructure while managing risk. Key areas of impact include Legal Strategy & Risk Management, Contract Management, Regulatory & Compliance Oversight (including SOC 2), and Cross-Functional Support.
Key Responsibilities
1. Legal Strategy & Risk Management
- Identify, assess, and mitigate legal risks across the business
- Serve as a trusted legal advisor to the CEO and internal team on strategic decisions with legal or risk impact
- Develop and implement legal policies, procedures, and playbooks
- Collaborate internally to align legal strategy with business objectives
2. Contract Management
- Draft, review, and negotiate a wide range of contracts and commercial agreements (such as MSAs, PSAs, NDAs, vendor and subcontractor agreements)
- Provide legal oversight on all vendor agreements, including redlines and risk mitigation strategies
- Maintain a contract repository with updated templates and playbooks for recurring agreements to ensure timely renewals and compliance
3. Regulatory & Compliance Oversight
- Monitor legal trends to advise on and ensure compliance with applicable US Federal, (multiple) State, and Local laws and regulations (e.g., SOC 2, HIPAA, other relevant data protection frameworks)
- Support audits and compliance assessments or inspections related to data privacy and contractual obligations
- Advise on breach notification protocols and client HIPAA-related obligations, when applicable
4. Cross-Functional Legal Support
- Partner with HR regarding state-specific compliance and regulations for both existing and future employment states
- Support Finance, Operations, and IT on legal aspects of procurement, data privacy, and IP protection
Requirements
- JD from an accredited law school and active bar membership in Ohio or a reciprocal state
- 3+ years of legal experience, preferably in a corporate or in-house setting
- Demonstrated expertise in contract law, data privacy (SOC 2, HIPAA), and commercial agreements
- Strong analytical, negotiation, and communication skills
- Ability to work independently and manage multiple priorities
- Ability to scale legal operations in a lean team environment
Preferred Skills
- Experience with fractional or part-time legal consulting
- Familiarity with Microsoft 365 and cloud-based collaboration tools
- Experience supporting technology clients
- Understanding of breach notification protocols and Business Associate Agreements (BAAs)
