As we continue to grow and evolve our marketplace, we are seeking an experienced Fractional General Counsel to provide practical legal guidance across the organization while supporting leadership with strategic legal oversight.

Position Overview
The Fractional General Counsel will serve as the company’s primary legal advisor on a part-time basis (10 - 20 hours per week, or as needed). This role will partner closely with executive leadership and cross-functional teams to manage legal risk, support business initiatives, and oversee key legal matters, including contracts, employment law, compliance, and marketplace operations.
EBTH operates in a complex intersection of auction law, consumer protection, and multi-state logistics, E-commerce/Marketplace experience is a must.
This position is ideal for a seasoned attorney who enjoys working with growth-stage companies and providing pragmatic, business-oriented legal guidance and risk assessment.

Key Responsibilities
Corporate & Strategic Counsel
- First point of contact for the internal EBTH team, responsible for resolving 80% of legal queries internally without the assistance of outside counsel. This will be aligned with a KPI to reduce outside counsel spend.
- Advise executive leadership on legal strategy and risk management.
- Support corporate governance and owner/board-related matters as needed.
- Provide legal perspective on strategic initiatives, partnerships, and business models.
Commercial Contracts
- Draft, review, and negotiate contracts, including:
- Vendor agreements
- logistics and transportation contracts
- technology and SaaS agreements
- marketing and partnership agreements
- consignment and seller agreements
Marketplace & Regulatory Compliance
- Ensure compliance with applicable federal and state laws related to e-commerce, auctions, consumer protection, and resale.
- Advise on privacy, data protection, and digital commerce regulations.
Employment & HR Legal Support
- Provide counsel on employment law matters, including policies, employee relations, investigations, and risk mitigation.
- Review employment-related agreements and internal policies.
Risk Management & Dispute Resolution
- Manage pre-litigation matters and coordinate with outside counsel when necessary.
- Provide guidance on claims, disputes, and regulatory inquiries.

Qualifications
- JD from an accredited law school and active bar membership in good standing.
- 10+ years of legal experience, ideally including in-house counsel experience.
- Experience advising ecommerce, marketplace, logistics, or retail businesses preferred.
- Strong background in commercial contracts and employment law.
- Demonstrated ability to provide practical, business-focused legal advice.

Required Experience
- Prior General Counsel or Fractional GC experience.
- Experience with multi-state operations a plus.
- Experience with strategic partnerships, franchise law, and licensing agreements.
- Familiarity with auction, consignment, resale, or marketplace business models.
- Experience with IP & Platform Protection. Protect "Partner Mode" software and proprietary intake algorithms when utilized by third-party logistics operators.
- Experience working with executive leadership teams.

Engagement Structure
- Fractional engagement estimated at 10–20 hours per week.
- Flexible schedule with availability for executive leadership meetings.
- Ability to scale hours as business needs evolve.
