Role Description

We are looking for an experienced Fractional General Counsel to join byteSense on a fractional basis. The ideal candidate will possess a strong background in corporate law, startup operations, intellectual property, and compliance. You will play a pivotal role in shaping our legal strategy, mitigating risks, and supporting our expansion efforts.

Responsibilities

Corporate Governance

• Advise on corporate structure, governance policies, and board management.
• Facilitate the appointment and management of board members.
• Legal Strategy and Compliance:
• Develop and implement legal strategies aligned with ByteSense’s business objectives.
• Ensure compliance with all relevant laws and regulations, including securities, data protection, and intellectual property.
  

Contracts and Agreements

• Draft, review, and negotiate a variety of contracts, including vendor agreements, partnership deals, and employee contracts.
• Manage contract lifecycle and ensure all agreements protect the company’s interests.
  

Intellectual Property Management

• Oversee the protection of ByteSense’s intellectual property, including trademarks, patents, and copyrights.
• Handle IP filings and address any infringement issues.
  

Risk Management

• Identify potential legal risks and develop mitigation strategies.
• Provide guidance on litigation matters and manage any legal disputes.
  

Mergers and Acquisitions

• Support potential M&A activities, including due diligence and transaction structuring.
  

Funding and Securities

• Assist with fundraising efforts, including preparing necessary documentation and ensuring SEC compliance.
• Manage equity distribution and cap table maintenance using platforms like CARTA.
  

Administrative and Miscellaneous

• Oversee compliance with state and federal tax obligations.
• Ensure all company addresses and administrative details are properly managed and updated.
