About Us
We operate an MSO that supports multiple outpatient therapy practices. Our clinics provide physical therapy, occupational therapy, speech therapy, and more across several locations in the New York area.
Our clinics generate a combined $20M revenue, with plans to expand through acquisitions and opening new clinics.
About the Work
We are consolidating multiple outpatient practices into a single MSO and need clear legal structure and ongoing guidance to scale safely. We're looking for a Fractional General Counsel to own our legal function and act as the legal lead across operations, compliance, and growth.
Specifically, you'll:
- Own the legal structure of the MSO and its relationships with each clinic
- Lead the drafting and negotiation of MSAs between the MSO and partner clinics
- Support acquisitions and new clinic onboarding, including operating agreements and legal integration
- Review and negotiate payer contracts, leases, and vendor agreements
- Establish and maintain governance practices, including meeting documentation and formal approvals
- Ensure compliance with healthcare regulations, including CPOM considerations
- Coordinate with outside counsel as needed for specialized matters
About You
You MUST have:
- Served as in-house counsel for, or outside counsel with significant experience in: healthcare MSOs, multi-site healthcare operators, or similar healthcare roll-up structures
- Direct experience drafting and negotiating MSAs between an MSO and clinic entities
- Experience navigating CPOM constraints in states like New York or other CPOM-restricted states
- Led or materially supported healthcare acquisitions, including clinic onboarding, operating agreements, and legal integration
- Experience reviewing and negotiating payer contracts, commercial leases, partnership agreements, and vendor agreements
Some nice-to-haves:
- Therapy clinic experience specifically
- Significant NY-based experience
